Technology Acquisitions & Transfers

Technology and the IP that protects it are the engines that drive modern commerce.  Innovative technology drives revenue and market share and strategically crafted IP protects both.   In some cases, rapidly changing market conditions and the expansion of new markets may require acquisition of IP to fill portfolio gaps or to facilitate expansion into new technology niches. In other cases, changes in strategic direction may make it profitable to sell client-owned IP.  We can help in both situations.

The acquisition of technology and related IP require close attention to detail, ensuring that all the necessary “t’s” have been crossed and the “i’s” dotted.  We have the experience necessary to analyze the adequacy and coverage of IP assets being considered for acquisition.  We also scrutinize potential IP assets for litigation pitfalls and craft agreements that protect our clients’ interests.  We focus on value to the client, with an eye to the practical realities of running a business - a business that depends on thoughtful development and deployment of technology and IP to protect that technology.

Transfer of client-owned technology and IP is equally as important and complex as acquisition of third party IP.   We are experienced in negotiating and implementing strategic divestiture of client-owned IP in ways that maximize return on the client’s investment and provide forward-looking flexibility. For example, in appropriate circumstances, we have negotiated cross licenses that leverage client-owned IP, allowing access to otherwise unavailable technology.  At the same time, we can retain for the client the ability to use internally owned IP to prevent competition from unlicensed competitors.

Our professionals have the education, technology background and practical experience to successfully navigate complex acquisition, licensing and sale of IP and related assets.  We are active in the acquisition, licensing and sale of patents, trademarks, service marks, copyrights, and other IP assets.  We have experience drafting and reviewing contracts for acquisition, sale, licensing, joint development, and distribution of technology and related IP.  Our advice is specific, practical, and tailored to meet the individual needs of clients, whether they are Fortune 500 companies or startups.
